FINAL DRAFT for legal review. Review by a qualified attorney is recommended before final publication.
Version: 1.0
Effective from: the release date of the Game in Early Access on Steam
Last updated: October 11, 2026
This document is available in English and Portuguese. The English version is the original and prevails in case of any discrepancy, except where the law of the user's country of residence requires the version in the user's language to prevail. For consumers residing in Brazil, the Portuguese version prevails.
1. Who we are and who this agreement applies to
1.1. The game NANQUIM (the "Game") is developed and maintained by ALAS TECHNOLOGY LLC, a limited liability company organized in the United States of America, D-U-N-S 109327849, with its address at 30 N Gould St Ste R, Sheridan, WY 82801, United States ("we", "us" or the "Licensor"). Contact: [email protected].
1.2. This End User License Agreement ("EULA") is an agreement between you and the Licensor covering your use of the Game, including the application for Windows, macOS, Linux and Steam Deck, the online servers, updates and the content made available in the Game.
1.3. By installing, launching or playing the Game, you confirm that you have read and accept this EULA and the Code of Conduct, and that you have been informed of the Privacy Policy. If you do not agree, do not use the Game.
2. Relationship with Steam
2.1. The Game is distributed through the Steam platform, operated by Valve Corporation ("Valve"). Purchases, payment, refunds, your Steam account and platform features are governed by the Steam Subscriber Agreement (https://store.steampowered.com/subscriber_agreement/) and Valve's privacy policy.
2.2. This EULA supplements Valve's terms and does not replace them. Refund requests must be made through Steam, under Valve's rules.
2.3. You need an active and valid Steam account to play online. If Valve suspends or terminates your Steam account, you may lose access to the Game.
2.4. In the browser version (nanquim.gg) you can play online with a Game account, created with an email or with social sign-in (Google, Discord, Apple or Steam), without a Steam account. You are responsible for keeping access to your email and to the sign-in methods linked to the account, and for not sharing them. The account is personal and may not be sold, transferred or shared (section 4, item f). Players who joined through an invite can move the invite progress to their own account on first sign-in. How this data is processed is described in the Privacy Policy, section 4.1.
3. License grant
3.1. Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to install and use the Game on devices you control, solely for personal, non-commercial purposes.
3.2. The Game is licensed, not sold. No ownership rights in the Game are transferred to you.
3.3. Streaming and recording matches for sharing (for example, on video and live streaming platforms) is allowed, including monetization through those platforms' partner programs, as long as the content does not suggest sponsorship or endorsement by the Licensor and complies with the Code of Conduct. No permission request is needed. We may ask for the removal of content that promotes cheats, exploits, or unreleased material obtained improperly.
4. What is not allowed
Unless we give prior written permission, or the law expressly allows it, you may not:
a) copy, sell, rent, sublicense or distribute the Game or any part of it;
b) reverse engineer, decompile or disassemble the Game, except to the extent applicable law allows this and that right cannot be waived;
c) create, use or distribute software, macros, bots or tools that interfere with the Game, automate input or give an unfair advantage;
d) modify the client, network traffic or the Game's memory, or bypass, disable or interfere with the anti-cheat system, encryption or any technical protection measure;
e) host, operate or connect to unauthorized servers, server emulators or services that imitate the official servers;
f) sell, buy, trade, assign or rent accounts, items, currency or progress, inside or outside the Game;
g) use the Game for any unlawful purpose or in breach of the Code of Conduct.
5. Intellectual property
5.1. The NANQUIM name and brand, logos, characters, art, animation, music, sound effects, text, code and all Game content belong to the Licensor or its licensors and are protected by intellectual property law.
5.2. Nothing in this EULA grants you any right to use the Licensor's trademarks, other than descriptive, good-faith use when talking about the Game.
6. User content, replays and clips
6.1. "User content" includes your display name, chat messages, matches and replays and, when available, mods and content submitted through Game tools.
6.2. You keep whatever rights you have in your user content. You grant the Licensor a non-exclusive, royalty-free, worldwide license, for the applicable term of protection, to store, reproduce, display and transmit match replays and clips, in the Game and on official Game channels (for example, tournament highlights and promotional material), to the extent needed to operate, promote and protect the integrity of the Game. The use of replays for security and anti-cheat purposes is governed by the Privacy Policy.
6.3. You may only submit content that is yours or that you have the right to use.
6.4. Mods. In this phase, the Game does not offer official support for mods or the Steam Workshop. Client modifications may not be used in online modes, as set out in Section 4. If mod support is added, we will publish a mod policy beforehand, and mods that change gameplay will remain prohibited in ranked mode.
7. Virtual items and in-game currency
7.1. The Game offers cosmetic items only, which give no competitive advantage. In this phase, there are no real-money purchases inside the Game: cosmetics are obtained with coins or as rewards for playing, always at a fixed price or under criteria shown beforehand. The Game has no loot boxes and no randomized reward mechanism sold for money.
7.2. The in-game currency ("coins") is earned by playing. Coins cannot be bought with money. Coins and virtual items have no monetary value, are not your property, cannot be exchanged for real money or redeemed, and exist only as part of your license to use the Game.
7.3. If any form of purchasing currency or items is introduced in the future, this EULA and the Privacy Policy will be updated beforehand, as described in Section 13.
8. Early Access
8.1. The Game is offered in Early Access. This means it is under active development, may contain bugs and instability, and its content, balance, features and progression may change.
8.2. We do not promise that any future features, modes or content will be released, or when. Your purchase should be based on the Game as it is at the time of purchase, in line with Valve's rules for Early Access titles.
8.3. During Early Access, we may adjust or reset ratings, progression and the in-game economy when needed to fix bugs or balance the Game, giving at least 7 days' advance notice whenever possible. Ranked ratings may be reset at the end of each season. We do not intend to remove legitimately obtained cosmetics.
8.4. The license price is set on Steam. The price may increase when the Game leaves Early Access (version 1.0), as stated on the Game's Steam page. A price change does not affect players who have already purchased, and all version 1.0 content is included in the license of those who purchased during Early Access.
9. Online service
9.1. Online play depends on servers operated by the Licensor. We will make reasonable efforts to keep them available, but maintenance, outages and failures may occur.
9.2. We may change, suspend or discontinue the online service, in whole or in part. If the online service is permanently discontinued, we will give at least 90 days' notice in the Game and on the Game's Steam page, except in cases of force majeure or legal requirement.
9.3. Updates may be downloaded and installed automatically by Steam and may be required to keep playing online.
10. Anti-cheat and security measures
10.1. The Game uses an authoritative server and an anti-cheat system that analyzes match behavior on the server. The Game does not install kernel-level anti-cheat and does not scan your computer. How this system works, the measures that may apply and your right to appeal are described in the Code of Conduct. The related data processing is described in the Privacy Policy.
10.2. Breaching this EULA or the Code of Conduct may result in disconnection, a temporary or permanent ban from the online service and, after human review, a game ban recorded on Steam (Steam Game Ban).
11. Warranties and liability
11.1. Nothing in this EULA excludes, limits or overrides consumer rights that cannot be waived by contract, including those under the Brazilian Consumer Protection Code (Law No. 8,078/1990) and the consumer protection laws of European Union countries. If you are a consumer, the limitations below apply only to the extent permitted by applicable law.
11.2. Subject to Section 11.1, the Game is provided as is, taking into account its Early Access nature. We do not warrant uninterrupted or error-free operation, or compatibility with all hardware or software.
11.3. Subject to Section 11.1, we are not liable for indirect damages, lost profits or data loss caused by events outside our reasonable control, such as Steam failures, your internet connection or your device, or for the conduct of other players.
11.4. Nothing in this EULA limits liability for intentional misconduct, gross negligence, death or personal injury, or any other liability that cannot be limited by law.
12. Term and termination
12.1. This EULA applies for as long as you use the Game.
12.2. You may end this EULA at any time by uninstalling the Game. To request deletion of your data, follow the Privacy Policy.
12.3. We may suspend or terminate your license to the online service if you breach this EULA or the Code of Conduct, subject to the review and appeal process described in the Code of Conduct.
12.4. The sections on intellectual property, liability, governing law and jurisdiction survive termination, where applicable.
13. Changes to this EULA
13.1. We may change this EULA to reflect changes in the Game, the law or our practices. Material changes will be announced in the Game and on the Game's Steam page at least 30 days before they take effect, unless the law requires a change on a shorter timeline.
13.2. If you do not agree with the new version, you may stop using the Game. Continued use after the effective date means you accept the new version, without prejudice to non-waivable consumer rights.
14. Governing law and jurisdiction
14.1. This EULA is governed by the laws of the State of Wyoming, United States of America, without prejudice to the mandatory consumer protection and data protection rules of the user's country of residence, including the Brazilian Consumer Protection Code (Law No. 8,078/1990) and the LGPD in Brazil, and consumer law and the GDPR in the European Union.
14.2. The competent state and federal courts located in the State of Wyoming are chosen as the venue. If you are a consumer resident in Brazil, you may bring a claim in the courts of your place of residence, under Article 101, I, of the Brazilian Consumer Protection Code. If you are a consumer resident in the European Union or the United Kingdom, this choice does not deprive you of the protection of the mandatory rules of your country of residence or of your right to bring a claim before the courts of that country. Nothing in this EULA imposes mandatory arbitration on consumers.
14.3. Before taking legal action, we invite you to write to [email protected] so we can try to resolve the matter amicably. This step is optional and does not suspend or limit your rights.
15. General provisions
15.1. If any provision is found invalid, the remaining provisions stay in effect.
15.2. Failure to enforce any provision is not a waiver of rights.
15.3. You may not assign this EULA. We may assign it in case of corporate reorganization or transfer of the Game, without prejudice to your rights.
